LICENSING TERMS & CONDITIONS
The following are the Terms and Conditions of licensing the reproduction rights for images for specific uses from Christina Handley.
1. Client may not at any time share, sell, give, or allow anyone to use your username/password, nor access your account for any reason.
2. Client may not distribute, share, sell, or give away any of our Images or Materials at any time for any reason whatsoever.
3. Client may not distribute Images from Christina Handley Stock electronically or in hard copy, except as specifically outlined in the “Terms of Use” agreement found during download.
4. Client may not allow or authorize any third party to use the Images or Materials for any purpose at any time or resell, sublicense, or otherwise make available the Images or Materials for use or distribution.
5. Client may not under any circumstances use Images or Materials in connection with any illegal, obscene, immoral, sensitive or pornographic material.
6. No rights are granted until payment of contract/invoice is paid in full.
7. Client understands that Images and Materials are copyrighted and owned by Christina Handley only, and any unauthorized use of any of these Materials by you may be an infringement upon said copyright.
8. Christina Handley, her employees, directors, and officers, or anyone else associated with Christina Handley shall not be liable for any indirect, special, consequential, economic damages including but not limited to loss of revenue or profits, arising out of the use, or inability to use, the Images or Materials. Christina Handley, her employees, or related parties, will in no event be liable for any damages to exceed the amount paid by you for licensing Images, or using Christina Handley Stock, and for accessing, acquiring, and/or using Images or Materials from Christina Handley Stock Website.
9. Client agrees that they fully understand the contents, meaning and impact of the Licensing Terms and Conditions. Client will not use Images or Materials in any way that is not outlined or granted in the License contract/invoice or in violation of the License contract/invoice. Your use of the Images or Materials will not violate any applicable law or regulation of any country, state, or other governmental entity. Client further attests that the information you provide to Christina Handley is accurate and true, including without limitation all credit card information.
10. Client agrees to fully, indemnify, and hold harmless Christina Handley, her employees, directors, officers, and any other entity associated with Christina Handley, and each of her successors, licensees, and assigns free and harmless from any and all claims, liabilities, costs, losses, damages, expenses, including attorneys’ fees and expenses, arising in connection with Your use of the Images or Materials and this website or of any breach or alleged breach of any representation, warranty, or other promise made by You in the License Agreement.
11. No model releases or other releases exist for any image unless specifically stated in the contract/invoice. It is the responsibility of the Client to obtain releases for the subject matter as may be required.
12. Christina Handley makes no warranty as to the accuracy of any information provided with the images.
13. Client agrees that it will not use any image to defame any person, violate any person's right to privacy, infringe on any trademark or service mark or trade name, or for any unlawful purpose. It is the Client's responsibility to defend Christina Handley against all claims, damages and liability including legal fees arising out of a contract breach or use of an image for which Christina Handley supplied no release.
Client understands and agree that Christina Handley Stock may, in its sole discretion:
A. Monitor your download activity from Christina Handley Stock as often as Christina Handley Stock determines under its sole discretion for any reason and for any violation of this Agreement.
B. Disable any account that engages in what Christina Handley Stock determines to be a large number of photos on any given day, as such activity indicates possible violations or abuse of a username/password and account.
C. Investigate any abuse of your username and password in connection with the Christina Handley Stock website or in connection with this Agreement.
D. Take the appropriate action to investigate all potential abuse, which can lead to contacting the individual involved with the violations, account suspension, account termination, or other actions deemed necessary depending on the nature and severity of the violations, if we are unable to confirm the validity of the activity.
E. Terminate your account immediately for any violation of this agreement, without notice. If your account is terminated for any violation of this Agreement and/or abuse of your username or password, and/or our Images or Materials, you lose all rights to Christina Handley Stock Images and Materials, and you must IMMEDIATELY delete any and all Images and Materials obtained prior to this termination.
